Signing of the contract is usually preceded by talks between two contracting parties. The job of negotiating a contract is entrusted to people with a good knowledge of the trade, business and legal matters, not to mention the language in which the talks are conducted. No negotiator will get very far unless he has the experience and authority to proceed without constant reference to his home base. This usually means that a small team is required to conduct negotiations. Each element of the contract is negotiated separately. This should cover the quality of the goods in question their price, the delivery date and the terms of payment. The negotiators employ all their skills to achieve maximum results, a better price and better credit terms. Apart from the basic elements the conditions supplementing the agreement have to be written into the contract. They include the import - export licence, force majeure, penalties for delays, and arbitration. Once the contract has been signed it has to be honoured by both sides. Essential clauses of Contract By law contracts are made in writing. When striking а dеa1 standard contracts are widely used. Standard contracts aге not a must. Some articles may be altered and supplemented. Here are some of the items which are part and parcel of any contract: legal title of the contracting parties, subject of the contract, quality, price, delivery and payment terms.
